Governmental and Other Third Party Consents. Except as required by applicable filing requirements of the Securities Exchange Act of 1934, as amended, or state securities laws and those consents that have already been obtained or made or those for which the failure to obtain would not have a material adverse effect on the Purchaser, the Purchaser is not required to obtain any consent from, or to make any declaration or filing with, any governmental authority or any other person in connection with the execution, delivery and performance of this Agreement, including, without limitation, the purchase of the Shares as contemplated hereunder.
