Except for consents that have already been obtained or made, no Purchaser is required to obtain any material consent from, and is not required to make any declaration or filing with, any Governmental Authority or any other Person in connection with the execution, delivery and performance of this Agreement or any other Investment Document. Each of the consents which have been obtained or made by each Purchaser in connection with the execution, delivery and performance of this Agreement or any other Investment Document is in full force and effect.
