Common use of Governmental and Other Third Party Consents Clause in Contracts

Governmental and Other Third Party Consents. No consent, approval, or authorization of, or registration, designation, declaration, or filing with, any governmental authority, federal or other, or any other person is required on the part of the Company or any of its Subsidiaries in connection with the Company's execution, delivery, or performance of this Agreement or the Ancillary Agreements or the Company's consummation of the transactions contemplated hereby or thereby, or the continued conduct of the present business of the Company and each of its Subsidiaries after the Closing Date.
