Governmental and Other Third Party Consents. Except for filings or other notices required by applicable federal and state securities laws (which will be completed by the Company within the applicable periods), no consent, approval or authorization of, or registration, designation, declaration or filing with, any governmental authority, federal or other, or any other person or entity is required on the part of the Company in connection with its execution, delivery or performance of this Agreement and the Note and its consummation of the transactions contemplated hereby and thereby, or the continued conduct of the present business of the Company after the Closing.
