Common use of Governmental Authorization; Consents Clause in Contracts

Governmental Authorization; Consents. The execution, delivery and performance by Buyer of this Agreement and the Ancillary Agreements to which each is a party require no action by or in respect of, or filing with, any governmental body, agency, official or authority other than compliance with any applicable requirements of the HSR Act. No consent, approval, waiver or other action by any Person (other than any governmental body, agency, official or authority referred to above) under any material contract, agreement, indenture, lease, instrument or other document to which Buyer is a party or by which either is bound is required or necessary for the execution, delivery and performance of this Agreement by Buyer or the consummation of the transactions contemplated hereby.

No consent, approval, approval waiver or other action by any other Person (other than any governmental body, agency, official or authority referred to above) under any material contract, agreement, indenture, lease, instrument or other document to which Buyer the Seller is a party or by which either it is bound is required or necessary for the execution, delivery delivery, and performance of this Agreement by Buyer the Seller or the consummation of the transactions contemplated hereby.
