Common use of Governmental Authorization; Consents Clause in Contracts

Governmental Authorization; Consents. The execution, delivery and performance of this Agreement by Seller require no action by or in respect of, or filing with, any governmental body, agency, official or authority other than actions or filings which have been taken or made on or prior to the date hereof. No consent, approval, waiver or other action by any Person under any contract, agreement, indenture, lease, instrument or other document to which it is a party or by which it is bound is required or necessary for the execution, delivery and performance of this Agreement or the consummation of the transactions effected hereby.
