Governmental Authorization; Consents. The execution, delivery and performance by the Shareholder of this Agreement require no action by or in respect of, or filing with, any governmental body, agency, official or authority. No consent, approval, waiver or other action by any private party under any contract, agreement, or other document to which the Shareholder is a party or by which the Shareholder is bound is required for the execution, delivery and performance of this Agreement by the Shareholder or the consummation of the transactions contemplated hereby.
