Common use of Governmental Authorization; Consents Clause in Contracts

Governmental Authorization; Consents. (a) The execution, delivery and performance by the Company of the Transaction Agreements and the Warrants require no action by or in respect of, or filing with, any governmental body, agency, official or authority other than compliance with any applicable requirements of the 1933 Act and applicable state securities laws. (b) No consent, approval, waiver or other action by any Person under any contract, agreement, indenture, lease, instrument or other document to which the Company or any Subsidiary is a party or by which any of them is bound is required or necessary for the execution, delivery and performance of the Transaction Agreements and the Warrants by the Company or the consummation by the Company of the transactions contemplated thereby.
