Common use of Governmental Authorization; Consents Clause in Contracts

Governmental Authorization; Consents. (a) The execution, delivery and performance by the Company and Sellers of this Agreement require no action by or in respect of, or filing with, any Governmental Authority. (b) Except as set forth in SCHEDULE 3.03, no consent, approval, waiver or other action by any Person (other than any Governmental Authority referred to in Section 3.03 (a)) under any contract, agreement, indenture, lease, instrument or other document to which the Company or any Subsidiary is a party or by which any of them is bound is required or necessary for the execution, delivery and performance of this Agreement by the Company or the consummation of the transactions contemplated hereby.
