Common use of Governmental Compliance Clause in Contracts

Governmental Compliance. 39.1 The Parties agree that each will comply at its own expense with all applicable laws that relate to its obligations under or activities in connection with this Agreement. 39.2 The Parties agree to indemnify, defend, (at the other Party's request) and save harmless the other Party, each of its officers, directors and employees from and against any losses, damages, claims, demands, suits, liabilities, fines, penalties, and expenses (including reasonable attorneys' fees) that arise out of or result from i) its failure or the failure of its contractors or agents to so comply or ii) any activity, duty or status of it or its contractors or agents that triggers any legal obligation to investigate or remediate environmental contamination.
