Common use of Governmental Compliance Clause in Contracts

Governmental Compliance. In the event that all or any portion of the Demised Premises is required by the State to comply with any present or future governmental law, rule, regulation, requirement, order or direction, the State shall give the Lessee notice, in compliance with Section 16 of this Lease, that all or any such portion of the Demised Premises is so required, and the Lessee shall deliver all or any such portion of the Demised Premises so required on the date specified in such notice and, if the Lessee does not so deliver, the State may take the same. No such taking or delivery shall be or be construed to be an eviction of the Lessee or a breach of this Lease Agreement. In the event that the Lessee has received a notice hereunder it shall deliver all or any such portion of the Demised Premises so required in the same condition as that required hereunder for the delivery of the Demised Premises on the Expiration Date. In the event of the taking or delivery of all the Demised Premises, this Lease Agreement shall on the day of such taking or delivery cease and expire as if that day were the Expiration Date, originally stated in this Lease Agreement; and, in the event of the taking or delivery of any portion of the Demised Premises, then, from and after such taking or delivery, such portion of the Demised Premises shall cease to be a part of the Demised Premises hereunder. There shall be an abatement of the Rent in the event of any such taking or delivery of a portion of the Demised Premises.

There shall be an abatement of the Rent Fixed Rent, as that term is defined in Section 6 of this Lease, in the event of any such taking or delivery of a portion of the Demised Premises.

In the event that the Lessee has received a notice hereunder it shall deliver all or any such portion of the Demised Premises premises so required in the same condition as that required hereunder for the delivery of the Demised Premises premises on the Expiration Datecessation of the letting. In the event of the taking or delivery of all the Demised Premisespremises, this Lease Agreement and the letting hereunder shall on the day of such taking talking or delivery cease and expire as if that day were the Expiration Datedate, originally stated in herein for the expiration of this Lease Agreement; and, in the event of the taking or delivery of any portion of the Demised Premisespremises, then, from and after such taking or delivery, such portion of the Demised Premises premises shall cease to be a part of the Demised Premises premises hereunder. There shall be an abatement of the Rent rental in the event of any such taking or delivery of a portion of the Demised Premisespremises as provided in the Section of this Agreement entitled "Abatement of Rental".

Governmental Compliance. (a) In the event that possession of all or any portion of the Demised Premises premises is required by the State Port Authority to comply with any present or future governmental law, rule, regulation, requirement, order or directiondirection promulgated by a governmental authority other than the Port Authority, and, provided, that on an economic or operational basis it would be impracticable to comply with such requirement in another manner, the State Port Authority shall give the Lessee ninety (90) days' prior written notice, except in compliance with Section 16 the case of this Leasean emergency in which case it shall give the Lessee such notice as may be practicable, that all or any such portion of the Demised Premises premises is so required, required and the Lessee shall deliver all or any such portion of the Demised Premises premises so required on the date specified in such notice and, if the Lessee does not so deliver, the State Port Authority may take the same. No such taking or delivery shall be or be construed to be an eviction of the Lessee or a breach of this Lease Agreement. In the event that the Lessee has received a notice hereunder it shall deliver all or any such portion of the Demised Premises premises so required in the same condition as that required hereunder for the delivery of the Demised Premises premises on the Expiration Datecessation of the letting. In the event of the taking or delivery of all the Demised Premisespremises, this Lease Agreement and the letting hereunder shall on the day of such taking or delivery cease and expire as if that day were the Expiration Date, date originally stated in herein for the expiration of this Lease Agreement; and, in the event of the taking or delivery of any portion of the Demised Premisespremises, then, from and after such taking or delivery, such portion of the Demised Premises premises shall cease to be a part of the Demised Premises premises hereunder. There shall be an abatement of the Rent rental in the event of any such taking or delivery of a portion of the Demised Premisespremises as provided in the Section of this Agreement entitled "Abatement of Rental". The Lessee may elect to terminate this Agreement if as a result of such taking or conveyance, (1) the Lessee no longer has a reasonable means of access to the remaining portion of the premises, or (2) the portion of the premises taken constitutes more than twenty thousand (20,000) rentable square feet and a responsible officer of the Lessee certifies that in the good faith judgment of the Lessee, the Lessee cannot reasonably operate its business in the remaining portion of the premises in substantially the same manner as such business was operated prior to such taking. The Lessee shall give notice to the Port Authority of any election to terminate this Agreement within sixty (60) days after such taking or conveyance set forth in the preceding sentence is given by the Port Authority to the Lessee, such termination to be effective on the date specified in the Lessee's notice but not later than one hundred eighty (180) days following the date of the Lessee's notice. Upon the date specified in the Lessee's notice, the term of this Agreement shall terminate with the same force and effect as if the effective date of termination were the original date of expiration hereof. Any notice of termination given by the Lessee pursuant to the provisions of this paragraph shall not be effective if at the time of the giving of such notice or on the intended effective date thereof the Lessee is in default (after the giving of any required notice and the expiration of any applicable cure period) in the payment of any monetary obligation owing to the Port Authority under this Agreement. If any basic rental or additional basic rental is due to the Port Authority for any portion of the term prior to the effective date of termination or if any basic rental or additional basic rental has been paid by the Lessee for any portion of the term subsequent to the effective date of termination, the same shall be payable by the Port Authority or by the Lessee to the other, as the case may be, within twenty (20) days after demand therefor. In the event of a taking that does not result in the termination of this Agreement, the Port Authority shall, at its sole cost and expense and regardless of whether any award(s) shall be sufficient for the purposes, proceed with due diligence, except for causes or conditions beyond its control, to repair, alter and restore the portion of the Building in which the premises are located and the remaining part of the premises (including, without limitation, all leasehold improvements), to the extent feasible, to their condition immediately prior to the taking so as to constitute the remaining portion of the Building and the remaining part of the premises complete and tenantable.

There shall be an abatement of the Rent Fixed Rent, as that term is defined in Section 6 of this Lease, in the event of any such taking or delivery of a portion of the Demised Premises.
