Governmental Consent, etc. Except for filing the Amended Transferor Partnership Certificate to reflect the transactions contemplated hereby and the requirement for the receipt of the Lender approval in accordance with the provisions of Section 17.03 and issuance of TPA Approval (as defined in Section 17.06), no consent, approval or authorization of, or designation, declaration or filing with, any governmental agency, commission, board or public authority is required on the part of the Transferor Partners or the Transferor Partnership in connection with the valid execution and delivery of this Agreement by the Transferor Partners and the performance of the Transferor Partners' obligations hereunder.
