Governmental Consent, etc. Except as disclosed in the PPM, no consent, approval or authorization of, or designation, declaration or filing with, any governmental agency, commission, board or public authority is required on the part of the BRI Partnership in connection with the valid execution and delivery of this Agreement by the BRI Partnership and the performance of the BRI Partnership's obligations hereunder.
