Common use of Governmental Consent Clause in Contracts

Governmental Consent. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required for the due execution, delivery and performance by the Borrower of this Agreement, the Purchase Agreement or any other agreement, document or instrument to be delivered by it hereunder that has not already been given or obtained, except for filings under the UCC required under Article III.

Governmental Consent. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or other Person is required for the due execution, delivery and performance by the Borrower Originator of this Agreement, the Purchase Agreement or any other agreement, document or instrument Facility Document to be delivered by which it hereunder that has not already been given or obtained, is a party except for filings under the filing of UCC required under Article IIIfinancing statements in connection therewith.

Governmental Consent. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required for the due execution, delivery and performance by the Borrower it of this Purchase Agreement, the Purchase Sale Agreement or any other agreement, document or instrument to be delivered by it hereunder that has not already been given or obtainedhereunder, except for filings under the UCC required under Article IIIhereto and except as have been made or obtained on or before the Effective Date and thereafter will be in full force and effect.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required for the due execution, delivery and performance by the Borrower it of this Purchase Agreement, the Purchase Sale Agreement or any other agreement, document or instrument to be delivered by it hereunder that has not already been given or obtainedhereunder, except for filings under the UCC required necessary to perfect the interests granted hereunder and under Article IIIthe Sale Agreement and except as have been made or obtained on or before the Effective Date and thereafter will be in full force and effect.
