Common use of Governmental Consents and Approvals Clause in Contracts

Governmental Consents and Approvals. The execution, delivery and performance by the Purchaser of this Agreement does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to, any Governmental Authority other than compliance with any consents, approvals, authorizations, filings and notifications under any applicable antitrust, competition, or trade regulation Law, except where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, would not prevent or materially delay the consummation by the Purchaser of the transactions contemplated by this Agreement.

Governmental Consents and Approvals. The execution, delivery and performance by the Purchaser of this Agreement does and each Employment Agreement to which the Purchaser is a party do not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to, any Governmental Authority other than compliance with any consents, approvals, authorizations, filings and notifications under any applicable antitrust, competition, or trade regulation LawAuthority, except where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, would not prevent or materially delay the consummation by the Purchaser of the transactions contemplated by this AgreementAgreement and the Employment Agreements.

The execution, delivery and performance by the Purchaser of this Agreement does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to, to any Governmental Authority Authority, except (a) the premerger notification and waiting period requirements of the HSR Act and the requirements of the antitrust laws of any other than compliance with any consents, approvals, authorizations, filings and notifications under any applicable antitrust, competitionrelevant jurisdiction, or trade regulation Law, except (b) where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, would not prevent or materially delay the consummation by the Purchaser of the transactions contemplated by this Agreement.

The execution, delivery and performance of this Agreement by the Purchaser of this Agreement does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to, any Governmental Authority Authority, except (i) for the applicable requirements, if any, of the Exchange Act, state securities or "blue sky" laws and (ii) for such other than compliance with any consents, approvals, authorizations, orders, actions, filings and notifications under any applicable antitrustor notifications, competition, which if not obtained or trade regulation Law, except where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, made would not prevent be reasonably likely to be material to the Purchaser or materially delay the consummation by the Purchaser of the transactions contemplated by this Agreement.

The execution, delivery and performance by the Purchaser of this Agreement and the Registration Rights Agreement by each Purchaser does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to, any Governmental Authority Authority, except (i) for the applicable requirements, if any, of the Exchange Act, and (ii) for such other than compliance with any consents, approvals, authorizations, orders, actions, filings and notifications under any applicable antitrustor notifications, competition, which if not obtained or trade regulation Law, except where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, made would not prevent be reasonably likely to be material to such Purchaser or materially delay the consummation by the Purchaser of the transactions contemplated by this Agreement.
