Common use of Grant-back Licenses Clause in Contracts

Grant-back Licenses. (a) University hereby grants back to BMS an irrevocable, paid-up, non-royalty bearing, exclusive worldwide license (with the right to sublicense subject to Article 3.3(d)) under the Composition Patents to make, have made, import, offer for sale, sell and use any compound other than Designated Compound, subject to University’s reservation of rights under the Composition Patents for its internal, non-exclusive, non-commercial research and educational purposes.
