Common use of Grant of Software License Clause in Contracts

Grant of Software License. (a) Seller grants to Buyer a limited, non-exclusive, non-transferable license to use the Software (the “Software License”). Seller shall retain all right, title and ownership of any Software (including all copyrights, patents, trade secrets or other intellectual or intangible property rights of any kind) provided to Buyer. Buyer agrees not to reverse engineer or decompile the Software or otherwise use the Software for any other purpose. Further, Buyer shall not modify, network, rent, lease, loan, sell, distribute or create derivative works based upon the Software in whole or part, or cause or knowingly allow any third party to do so. (b) All data collected on the Bloom Systems using the Software and data collected on the Bloom Systems using Seller’s internal proprietary software are the sole property of Seller, and Seller hereby grants to Buyer a limited, non-exclusive, license to use the data collected on the Bloom Systems using the Software for internal purposes only provided the provisions of ARTICLE VI on confidentiality are maintained.
