Guaranteed Minimum Current Ratio Sample Clauses

Guaranteed Minimum Current Ratio. (a) USG and the USG Shareholders covenant and agree that at all times from the date hereof through the Closing Date, USG shall maintain a Current Ratio of at least 1.15 to 1 ("Minimum Current Ratio"). Should the Adjusted Minimum Current Ratio fall below the Minimum Current Ratio, Griptec may reduce the Payables by an amount necessary to achieve the Minimum Current Ratio, and any sums paid by Griptec in connection therewith shall be deducted from or setoff against any monies or other consideration payable to the USG Shareholders, including without limitation the Balance of the Remaining Xxxxxxx Debt (as that term is defined in Section 12.3 below) and/or the earn-out shares, or shall be immediately payable upon demand. (b) For purposes hereof, the following terms shall have the following definitions:

Related to Guaranteed Minimum Current Ratio

  • Minimum Current Ratio The Borrower will not, as of the last day of any Fiscal Quarter (commencing with the Fiscal Quarter ending June 30, 2018), permit the Current Ratio to be less than 1.00 to 1.00.

  • Current Ratio The Borrower will not permit, as of the last day of any fiscal quarter, its ratio of (i) consolidated current assets (including the unused amount of the total Commitments, but excluding non-cash assets under FAS 133) to (ii) consolidated current liabilities (excluding non-cash obligations under FAS 133 and current maturities under this Agreement) to be less than 1.0 to 1.0.

  • Minimum Excess Availability Borrower shall have Excess Availability under the Revolving Credit Loans facility of not less than the amount specified in the Schedule, after giving effect to the initial advance hereunder and after giving effect to any applicable Loan Reserves against borrowing availability under the Revolving Credit Loans.

  • Liquidity Ratio A Liquidity Ratio of at least 1.50 to 1.00.

  • Minimum Liquidity The Borrower shall not permit Liquidity at any time to be less than $50,000,000.

  • Minimum Interest Coverage Ratio The Borrowers shall not permit the Interest Coverage Ratio, calculated as of the end of each fiscal quarter for the four fiscal quarters then ended, to be less than 3.50 to 1.00.

  • Maximum Leverage Ratio The Borrower will not permit the Leverage Ratio as of the end of any fiscal quarter to be greater than 0.55 to 1.00.

  • Maximum Total Leverage Ratio The Borrower shall maintain, on the last day of each fiscal quarter set forth below, a Total Leverage Ratio of not more than the maximum ratio set forth below opposite such fiscal quarter: October 31, 2007, January 31, 2008, April 30, 2008, July 31, 2008, October 31, 2008 and January 31, 2009 4.7 to 1 April 30, 2009, July 31, 2009, October 31, 2009 and January 31, 2010 4.2 to 1 April 30, 2010 and each fiscal quarter thereafter 4.0 to 1

  • Excess Availability Borrowers shall have Excess Availability at all times of at least (i) as of any date of determination during the period from July 25, 2016 through and including August 29, 2016, $10,000,000, (ii) as of any date of determination during the period from August 30, 2016 through and including October 17, 2016, $13,000,000, (iii) as of any date of determination during the period from October 18, 2016 through and including October 31, 2016, $17,500,000, and (iv) as of any date of determination during the period from November 1, 2016 through and including December 31, 2016, $20,000,000.

  • Quick Ratio A ratio of Quick Assets to Current Liabilities of at least 2.00 to 1.00.
