Guaranteed Minimum Current Ratio Sample Clauses

Guaranteed Minimum Current Ratio. (a) USG and the USG Shareholders covenant and agree that at all times from the date hereof through the Closing Date, USG shall maintain a Current Ratio of at least 1.15 to 1 ("Minimum Current Ratio"). Should the Adjusted Minimum Current Ratio fall below the Minimum Current Ratio, Griptec may reduce the Payables by an amount necessary to achieve the Minimum Current Ratio, and any sums paid by Griptec in connection therewith shall be deducted from or setoff against any monies or other consideration payable to the USG Shareholders, including without limitation the Balance of the Remaining Xxxxxxx Debt (as that term is defined in Section 12.3 below) and/or the earn-out shares, or shall be immediately payable upon demand.

  • Minimum Current Ratio Permit the Current Ratio at the end of any fiscal quarter to be less than 1.00 to 1.00.

  • Minimum Excess Availability Borrower shall have Excess Availability under the Revolving Credit Loans facility of not less than the amount specified in the Schedule, after giving effect to the initial advance hereunder and after giving effect to any applicable Loan Reserves against borrowing availability under the Revolving Credit Loans.

  • Liquidity Ratio A Liquidity Ratio of at least 1.50 to 1.00.

  • Minimum Liquidity The Borrower shall not permit Liquidity at any time to be less than $50,000,000.

  • Minimum Interest Coverage Ratio The Borrowers shall not permit the Interest Coverage Ratio, calculated as of the end of each fiscal quarter for the four fiscal quarters then ended, to be less than 3.50 to 1.00.

  • Maximum Leverage Ratio As of the last day of each fiscal quarter, the Borrower shall not permit the ratio (the "Leverage Ratio") of (i) Consolidated Funded Indebtedness to (ii) EBITDA of the Borrower and its Subsidiaries, as at the end of and for the period of four consecutive fiscal quarters ending on such day, to be greater than (i) 2.00 to 1.00.

  • Maximum Total Leverage Ratio Permit the Total Leverage Ratio as of the end of any fiscal quarter ending on or after September 30, 2006, to be greater than the ratio set forth below opposite the fiscal quarter end: Fiscal Quarter Ending Ratio on or prior to December 31, 2008 6.50 to 1.0 thereafter but on or prior to December 31, 2010 6.00 to 1.0 after December 31, 2010 5.50 to 1.0

  • Debt to Worth Ratio To maintain at all times, on a consolidated basis, a ratio of Total Liabilities to Tangible Net Worth not exceeding 1.10 to 1.00.
