Common use of GUARANTOR'S ACKNOWLEDGEMENT Clause in Contracts

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth Amendment, or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.

By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Fourth First Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth First Amendment, or any of the provisions contemplated hereinherein or the Merger, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty Guaranty, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower Company of this Fourth Third Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty Agreement and Subordination Agreement are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth Amendment, Third Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty Agreement and Subordination Agreement, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Subsidiary GuarantyGuaranty Agreement and Subordination Agreement.

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each Guarantor of the Guarantors (i) acknowledges, acknowledges and consents and agrees to the execution, delivery and performance by the Borrower Company of this Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary the Guaranty Agreement (A) are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth Amendment, Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty and (ivB) cover, among other things, the Commitment as increased by this Fourth Amendment, and (ii) acknowledges and agrees that it has no claim claims or offsets against, or defenses or counterclaims to, its Subsidiary Guarantythe Guaranty Agreement.
