Common use of Hasbro First Look Clause in Contracts

Provided the Studio that is acquiring the rights to the First Picture in the domestic territory does not have a then pre- existing agreement with a toy company for toy merchandising, Company shall require the domestic distributor to give Hasbro a "first look" at entering into a licensing agreement for toy merchandising for the First Picture, provided if the studio and Hasbro do not enter into an agreement within 15 business days of commencement of negotiations, then the studio shall have no further obligation to Hasbro.
