Hemostemix Obligations. Hemostemix shall indemnify, defend and hold harmless AHS, its officers, shareholders, directors, employees, agents, subsidiaries, affiliates, the Institutional Review Board (as hereinafter defined), principal investigator(s) and any subcontractors, and each of their heirs, successors and assigns (the "AHS Indemnitees"), from and against all Losses arising from or related to (i) a claim or lawsuit asserted or brought by a Third Party, directly and solely arising out of or related to Hemostemix ' gross negligence, negligence, willful misconduct or breach of the terms of this Agreement or any Project Agreement, (ii) any personal and bodily injury or death caused by the administration of the Study drug or test article solely in accordance with the provisions of this Agreement, any Project Agreement, the Protocol and all written instructions of Hemostemix concerning administration or use of the Study drug or test article or any other procedure required by the applicable Protocol, and (iii) any claim that any Study drug or test article infringes upon a patent, provided, however, that Hemostemix will not be responsible for any Losses arising from any injuries or damages to the extent resulting from (a) the negligence, fault, willful misconduct, errors or omissions of any AHS Indemnitee, (b) activities conducted by any AHS Indemnitee contrary to or outside the scope of the Protocol or this Agreement or any Project Agreement, (c) actions by any AHS Indemnitee in violation of Applicable Law, ICH GCP Guidelines, this Agreement, any Project Agreement or pursuant to any written instructions from AHS related to this Agreement or any Project Agreement or (d) unauthorized warranties by any AHS Indemnitee relating to any drug, test article or the Study, including warranties implied under applicable product liability law. Upon request, Hemostemix shall provide written assurance to AHS that Hemostemix has appropriate financial resources to satisfy any potential claims hereunder.
