HIS Obligations. HIS hereby grants to Subscriber a non- exclusive, perpetual, world-wide, transferable, royalty-free, license to reproduce, prepare derivative works of, distribute, display, perform and license (including sublicenses through multiple tiers) the Subscriber Contribution and those portions of the HIS Database relating to Participant’s listings. HIS shall secure the rights of Subscriber hereunder by obtaining assignments and licenses from Subscriber Affiliates and others as necessary; HIS shall make quarterly registrations of the copyrights in the HIS Database, including the Subscriber Contribution; HIS shall employ reasonable efforts to detect and hinder third parties using the Subscriber Contribution without Subscriber’s permission.  OPTION II

HIS Obligations. HIS shall be responsible for entering Subscriber Contribution into the HIS Database upon receipt of required listing content from Subscriber for the Reciprocal Listing. HIS shall maintain the Subscriber Contribution of the Reciprocal Listing for a period of one (1) year starting on the date that it is released to Active status in the HIS Database. HIS agrees to make the Reciprocal Listing available to all Internet sites supplied by HIS and to all other eligible subscribers to HIS. (Note: Upon receipt of all required listing information for the Reciprocal Listing by HIS, please allow two (2) days, excluding weekends and holidays, for completion of the data entry process. Subscriber will have an opportunity to review the listing after listing information is entered into the service. The listing will not be released to Active status until it is approved by Subscriber.)

Related to HIS Obligations

  • FIRM’S OBLIGATIONS 3.1 Firm shall comply with the Rules and this Agreement at all times and shall timely pay all fees established in accordance with the Rules.

  • Vendor’s Obligations Vendor shall incur no further obligations in connection with the terminated work and on the date set in the notice of termination Vendor will stop work to the extent specified. Vendor shall also terminate outstanding orders and subcontracts as they relate to the terminated work. Vendor shall settle the liabilities and claims arising out of the termination of subcontracts and orders connected with the terminated work. The MTC or designee may direct Vendor to assign Vendor’s right, title, and interest under terminated orders or subcontracts to the MTC. Vendor must still complete the work not terminated by the notice of termination and may incur obligations as are necessary to do so.
