Common use of HSR Act and Other Approvals Clause in Contracts

HSR Act and Other Approvals. (i) The waiting period (and any extension thereof) applicable to the consummation of the transactions contemplated by this Agreement under the HSR Act shall have expired or been terminated. (ii) All authorizations, consents, orders, declarations or approvals of, or filings with, or terminations or expirations of waiting periods imposed by any Governmental Entity, which the failure to obtain, make or occur would have the effect of making the transactions contemplated hereby illegal, shall have been obtained, shall have been made or shall have occurred.

(i) The Any waiting period (and any extension thereof) under the HSR Act applicable to the consummation of the transactions contemplated by this Agreement under purchase of the HSR Act Acquired Assets shall have expired or been terminated. (ii) . All authorizations, consents, ordersfilings and approvals necessary to permit Purchaser to perform the transactions contemplated hereby shall have been duly obtained, declarations made or approvals ofgiven, shall be in form and substance reasonably satisfactory to Sellers, shall not be subject to the satisfaction of any condition that has not been satisfied or filings with, or waived and shall be in full force and effect. All terminations or expirations of waiting periods imposed by any Governmental Entity, which the failure to obtain, make or occur would have the effect of making Entity necessary for the transactions contemplated hereby illegalunder this Agreement, shall have been obtainedif any, shall have been made or shall have occurred.
