Common use of Huntsman Acquisition Agreement Clause in Contracts

Huntsman Acquisition Agreement. The Huntsman Acquisition Agreement shall have been duly authorized, executed and delivered by the parties thereto, shall be in full force and effect and shall not have been modified without the consent of Administrative Agent, and the Huntsman Acquisition shall have occurred for a base purchase price not exceeding $197,500,000, as adjusted pursuant to the terms of the Huntsman Acquisition Agreement, plus any payments up to $70,000,000 described in the Letter of Credit;
