On the Closing Date (i) all of the conditions in the Senior Unsecured Notes Documents and the Tender Offer Documents to effecting or consummating the Transactions have been duly satisfied or, with the consent of the Administrative Agent, waived and (ii) the applicable Transactions have been consummated in accordance with the Senior Unsecured Notes Documents and the Tender Offer Documents.

Copies of each of the Transaction Documents (as well as all other closing documentation executed or delivered in connection therewith), any management or similar agreement entered into by any Obligor or any executive officer or director thereof with the LLC, Holdings or any of their Affiliates, and all exhibits, appendices, annexes and schedules to any thereof, each certified by a senior officer of Borrower as true, complete and correct copies thereof and each in form and substance reasonably satisfactory to the Lead Arrangers.

(B) all other documents and instruments reasonably requested by the Agent to effectuate the transactions contemplated hereby or to create and perfect the Liens of the Agent with respect to all Pledged Collateral, including without limitation:
(1) copies of all filings to be made under the UCC, in form for filing; and
(2) the certificates (if any) representing any and all Equity Interests in the Borrower, together with powers, in a form reasonably satisfactory to the Agent, executed in blank by DPA 1, as the registered owner thereof.
