Common use of ICT System Clause in Contracts

ICT System. 15.3.1 In consideration of the payment by the Company of the Company Annual Fee, the Company shall utilise the Council's ICT System. The Council shall provide the Company with access to the necessary ICT hardware for the Company to use the ICT Systems in the provision of the Services. 15.3.2 The Council shall at its own cost replace and update the ICT System as required to enable the Company to provide the Services in accordance with the Specification. 15.3.3 The Company shall permit the Council to have remote access to the ICT System for monitoring purposes to ensure compliance in the terms of this Agreement. 15.3.4 The Company shall transfer all rights, title and interest in any database maintained in relation to the Services to the Council at nil cost at the expiry or early termination of this Agreement.
