Common use of IDENTIFICATION OF CONFLICTS OF INTEREST Clause in Contracts

IDENTIFICATION OF CONFLICTS OF INTEREST. Manager shall immediately notify the City Representative when a perceived or actual financial or economic interest of any Manager Party relating to this Agreement is identified. City shall have no obligation to pay or reimburse Contractor for services provided under this Agreement if such services relate to any contract awarded or financial obligation entered in violation of any state or local conflict of interest law. If a perceived or actual financial or economic interest of any Manager Party exists and the City Representative has not been notified, or it is later determined that there has been a violation of any federal, state or local conflict of interest law, City shall have the right to reduce or deny payment in connection with the violation, in addition to all other rights and remedies available under this Agreement and federal, state and city conflict of interest laws. EXHIBIT I TO DISTRICT MANAGEMENT AGREEMENT SUBCONTRACTORS LIST INFORMATION REGARDING SUBCONTRACTOR PARTICIPATION: Contractor shall include name and complete address of all Subcontractors who will receive more than one-half of one percent (0.5%) of the contract amount or in excess of $10,000. Contractor shall also submit subconsultant commitment letters on subconsultant’s letterhead, no more than one page each, from subconsultants listed below to acknowledge their commitment to the team, scope of work, and percent of participation in the project. Subconsultants shall be used for scope of work listed. No changes to this Subconsultants List will be allowed without prior written City approval.
