if Xxxx X. Xxxxxx voluntarily terminates his employment with Buyer or if Buyer terminates his employment pursuant to Sections 4.3(a)(i) or (ii) of the Employment Agreement, a form of which is attached hereto as Exhibit I, at any time during the First Earnout Period, and (ii) no payment will be made pursuant to paragraph (f) if Xxxx X. Xxxxxx voluntarily terminates his employment with Buyer or if Buyer terminates his employment pursuant to Sections 4.3(a)(i) or (ii) of the Employment Agreement at any time during the Second Earnout Period. If Xxxx X. Xxxxxx terminates his employment as a result of death or disability, such payments shall be deemed earned and owing to Seller as of the date of such termination and the amount of such payments shall be determined by calculating the Earnout as if the Earnout Period had ended on the date of such termination. The immediate foregoing sentence shall not be applicable, however, if Xxxxxxx Xxxxxx shall continue to remain as an employee of Buyer at the time of such death or disability.
