Neither the Company nor any of its officers, directors, employees, agents or other representatives or, to the knowledge of the Company or Xxxxx, any other business entity or enterprise with which the Company is or has been affiliated or associated, has, directly or indirectly, knowingly made or authorized any payment, contribution or gift of money, property or services, whether or not in contravention of applicable law, (a) as a kickback or bribe to any Person or (b) to any political organization, or the holder of or any aspirant to any elective or appointive public office, except for personal political contributions not involving the direct or indirect use of funds of the Company. To the knowledge of the Company and Xxxxx, the Company has not violated any federal or state antitrust statutes, rules or regulations, including without limitation those relating to unfair competition, price fixing or collusion.
