ILLEGALITY AND SEVERANCE. 30.1 The provisions contained in each Clause of this Agreement shall be enforceable independently of the others and the invalidity of any one provision shall not affect the validity of the others.

If any term of this Agreement is deemed to be or becomes invalid, or unenforceable, that term shall be construed or deemed amended to conform to applicable laws so as to be valid and enforceable or, if it cannot be so construed or deemed to be amended without altering in a material way the intentions of the contracting parties, that term shall be deleted automatically from this Agreement and the remainder of this Agreement shall remain in full force and effect.

ILLEGALITY AND SEVERANCE. 23.1 If a provision of this Agreement is, or but for this Clause would be, held to be illegal, invalid or unenforceable, in whole or in part, in the jurisdiction to which it pertains but would be legal, valid and enforceable if the period applicable or geographical application were reduced, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable in that jurisdiction, and any such illegality, invalidity or unenforceability in any jurisdiction shall not invalidate or render invalid or unenforceable such provisions in any other jurisdiction.
