Impact on Future Grants. Unless following the Registration Date the Board shall determine that special circumstances warrant the grant of such additional awards as it or any duly authorized committee thereof shall, in its sole discretion, determine, it is the intent and expectation of the parties that Executive will not receive any further grants of equity-based compensation prior to the third anniversary of the Commencement Date. Following such third anniversary, Executive shall be eligible to receive equity-based compensation awards in accordance the Company’s generally applicable compensation practices, as then in effect.
