Common use of Implementation Covenants Clause in Contracts

Implementation Covenants. 1. The Recipient, through the TSG, shall implement the Project in accordance with the Environmental Management Plan, the Project Operational Manual, the FM Manuals and the Poultry Culling Compensation Scheme Manual, respectively. The Recipient: (i) shall maintain the Environmental Management Plan, the Project Operational Manual, the FM Manuals and the Poultry Culling Compensation Scheme Manual each in form and content acceptable to the Association; (ii) shall duly perform all its obligations under the Environmental Management Plan, the Project Operational Manual, the FM Manuals and the Poultry Culling Compensation Scheme Manual in a timely manner and in accordance with their respective terms, and apply and implement, as the case may be, the criteria, policies, procedures and arrangements therein respectively set forth; and (iii) shall not assign, amend, abrogate or waive the Environmental Management Plan, the Project Operational Manual, either of the FM Manuals or the Poultry Culling Compensation Scheme Manual or any provision of any one thereof, without obtaining the prior written approval of the Association. 2. The Recipient shall cause the Entities, through the Federation MOA, the Federation MOH, the Federation PIU, the RS MOA, the RS MOH and the RS PCU, as the case may be: (i) to take all measures necessary to perform their respective obligations under the Environmental Management Plan, the Project Operational Manual, the respective FM Manuals and the Poultry Culling Compensation Scheme Manual in a timely manner and in accordance with their respective terms, and apply and implement, as the case may be, the criteria, policies, procedures and arrangements therein respectively set forth; and (ii) to not amend or waive, or permit to be amended or waived the Project Operational Manual, the Environmental Management Plan, the respective FM Manuals or the Poultry Culling Compensation Scheme Manual or any provision of any one thereof, except with the prior written approval of the Association. 3. The Recipient, through the TSG, shall, not later than October 31 of each year, during the implementation of the Project, starting October 31, 2007, submit to the Association an Annual Work Program for the following calendar year, and shall agree with the Association on activities to be taken under the Project in the following calendar year and the related budget. 4. The Recipient shall ensure that the Federation and the Republika Srpska, for the purposes of making available their counterpart contribution to the financing of the Project, shall each: (i) open and maintain during the implementation of the Project, an account (the Project Account) in the Federation MOF and RS MOF, respectively; and (ii) make quarterly contributions to the Project Account, in an amount equivalent to fifteen thousand Special Drawing Rights (SDR 15,000) and ten thousand Special Drawing Rights (SDR 10,000) respectively, starting three (3) months after the date of the initial contribution of each Entity referred to in paragraphs (1)(c) and (1)(d) of Section VI.B of Schedule 2 to this Agreement, respectively. 5. The Recipient shall make available a counterpart contribution in an amount equivalent to three hundred ninety thousand dollars ($390,000) for the financing of Part 1 of the Project.

Implementation Covenants. 1. The Recipient shall, and shall cause the Entities to, maintain the PSC, and the JTWG, and the Recipient shall maintain the BH PCU at all times during Project implementation, with terms of reference and resources satisfactory to the Association, and with competent staff in adequate numbers. 2. The Recipient shall cause the Entities to maintain the Federation PCU and the RS PCU, as the case may be, at all times during Project implementation, with terms of reference and resources satisfactory to the Association, and with competent staff in adequate numbers. 3. No later than March 31, 2008, the Recipient shall, and shall cause the Entities to, adopt a staffing plan for the restructuring of the MOFTER, the Federation MOA, and the RS MOA, as the case may be, on terms and conditions satisfactory to the Association. 4. No later than September 30, 2008, the Recipient shall cause the Federation to establish the Federation Agency for Agricultural Extension Services, in a manner and with the composition and terms of reference satisfactory to the Association 5. The Recipient, through the TSG, shall implement the Project in accordance with the Environmental Management Plan, the Project Operational Manual, the FM Manuals MOFTER and the Poultry Culling Compensation Scheme ManualBH PCU, respectively. The Recipient: shall: (i) shall maintain the Environmental Management Plan, the Project Operational Manual, the FM Manuals and the Poultry Culling Compensation Scheme Manual each in form and content acceptable to the Association; (ii) shall duly perform all its obligations under the Environmental Management Plan, the Project Operational Manual, the FM Manuals Manual and the Poultry Culling Compensation Scheme Manual EMF in a timely manner and in accordance with their its respective terms, and apply and implement, as the case may be, the actions, criteria, policies, procedures and arrangements therein respectively set forth; and and (iiiii) shall not assignamend or waive, amend, abrogate or waive permit to be amended or waived the Environmental Management Plan, the Project Operational Manual, either of the FM Manuals Manual or the Poultry Culling Compensation Scheme Manual EMF or any provision provisions of any one thereof, without obtaining except with the prior written approval of the Association. 26. The Recipient shall cause the Entities, through the Federation MOA, MOA and the Federation MOHPCU, the Federation PIU, and through the RS MOA, the RS MOH and the RS PCU, as the case may be: (i) to take all measures necessary to perform their respective obligations under the Environmental Management Plan, the Project Operational Manual, the respective FM Manuals Manuals, the Rural Development Grants Operational Manual and the Poultry Culling Compensation Scheme Manual EMF in a timely manner and in accordance with their respective terms, and apply and implement, as the case may be, the actions, criteria, policies, procedures and arrangements therein respectively set forth; and (ii) not to not amend or waive, or permit to be amended or waived the Project Operational Manual, the Environmental Management PlanFM Manuals, the respective FM Manuals Rural Development Grants Operational Manual or the Poultry Culling Compensation Scheme Manual EMF or any provision provisions of any one thereof, except with the prior written approval of the Association. 3. The Recipient, through the TSG, shall, not later than October 31 of each year, during the implementation of the Project, starting October 31, 2007, submit to the Association an Annual Work Program for the following calendar year, and shall agree with the Association on activities to be taken under the Project in the following calendar year and the related budget. 4. Implementation Covenants. 1. The RecipientFederation shall, in cooperation with the Recipient and the RS, jointly maintain at all times during the Project implementation, the Advisory Board referenced in paragraph 1 of Part B of Section I of this Schedule, with the composition, terms of reference and resources satisfactory to the Association. 2. The Federation, through the TSGFederation MOJ and, as may be needed, the Federation GA, shall maintain at all times during Project implementation, the Federation LRU, with terms of reference and resources satisfactory to the Association, and with competent staff in adequate numbers. 3. The Federation, through the Federation MOJ, shall implement the Project in accordance with the Environmental Management Plan, the Project Operational Manual, the FM Manuals EMP and the Poultry Culling Compensation Scheme Manual, respectively. The Recipient: (i) shall maintain the Environmental Management Plan, the Project Operational Manual, the Federation’s respective FM Manuals and the Poultry Culling Compensation Scheme Manual each in form and content acceptable to the Association; (ii) shall duly perform all its obligations under the Environmental Management Plan, the Project Operational Manual, the FM Manuals and the Poultry Culling Compensation Scheme Manual in a timely manner and in accordance with their respective terms, and apply and implement, as the case may be, the criteria, policies, procedures and arrangements therein respectively set forth; and (iii) shall not assign, amend, abrogate or waive the Environmental Management Plan, the Project Operational Manual, either of the FM Manuals or the Poultry Culling Compensation Scheme Manual or any provision of any one thereof, without obtaining the prior written approval of the Association. 2. The Recipient shall ensure that the Federation and the Republika Srpska, for the purposes of making available their counterpart contribution to the financing land registry upon application of the Project, shall each: (i) open occupier and maintain during the implementation fulfillment of the Project, an account (the Project Account) in the Federation MOF and RS MOF, respectively; and (ii) make quarterly contributions to the Project Account, in an amount equivalent to fifteen thousand Special Drawing Rights (SDR 15,000) and ten thousand Special Drawing Rights (SDR 10,000) respectively, starting three (3) months after the date of the initial contribution of each Entity referred to in paragraphs (1)(c) and (1)(d) of Section VI.B of Schedule 2 to this Agreement, respectivelyconditions prescribed by such laws or regulations. 5. The Federation shall not amend, suspend, abrogate, repeal or waive legislation affecting land administration so as to materially affect the performance of the Recipient shall make available a counterpart contribution in an amount equivalent to three hundred ninety thousand dollars ($390,000) for or the financing of Part 1 of Federation under the Project. 6. The Federation, through the Federation MOJ, shall prepare and approve by September 30, 2007, service standards, a human resources development strategy and a business plan for continued operation of the registration service, satisfactory to the Association, and to implement them thereafter. 7. The Federation, through the Federation MOJ, shall cooperate with the Recipient in the timely preparation, under terms of reference satisfactory to the Association, and furnishing to the Association by June 30, 2009, of a draft policy and strategy document for completion of the long term goals in land administration in Bosnia and Herzegovina, and shall exchange views with the Association on such draft policy at the latter’s request.
