Implied Services. If any services, functions, or responsibilities are required for the proper performance and provision of the Services, regardless of whether they are specifically described herein, they shall be deemed to be implied by and included within the scope of the Services to be provided by First Data to the same extent and in the same manner as if specifically described in this Agreement.

Implied Services. (a) If any information technology services, functions, or responsibilities are required for the proper performance and provision of the Services, regardless of whether they are specifically described in this Agreement, they shall be deemed to be implied by and included within the scope of the Services to be provided by Vendor to the same extent and in the same manner as if specifically described in this Agreement. Vendor shall be compensated for the provision of such Services in accordance with the payment provisions of this Agreement. Implied Services. The parties understand and agree that the Potlatch Technology Services are being provided to maintain the technology infrastructure that supported the Pulp-Based Business in substantially the same manner as such infrastructure was maintained immediately prior to the Distribution Date to the extent necessary to allow Clearwater to transition to a stand-alone technology infrastructure that will support the Pulp-Based Business. To the extent the description of Services set forth in this Exhibit A does not address a particular circumstance or is otherwise unclear or ambiguous, the scope of the Potlatch Technology Services shall be interpreted and construed so as to give full effect to the above referenced service descriptions.

Implied Services. If any Functions not specifically described in this Agreement are required for the proper performance and provision of the Services in accordance with the requirements of this Agreement (including the Service Levels), such Functions will be deemed to be implied by and included within the scope of the Services (and provided to the Service Recipients at no additional charge) to the same extent and in the same manner as if expressly described in this Agreement.
