Common use of Improper Conduct Clause in Contracts

Improper Conduct. The Contractor warrants and represents that neither the Contractor nor any of its personnel engaged in any improper conduct in connection with the procurement process. The Contractor must not, and must ensure that its personnel do not engage in any improper conduct in connection with the Contract. Insert the following at the end of clause 3: 'The Superintendent shall not be obliged to give a direction that any provisional work, or any particular part or quantity of provisional work, be carried out or supplied by the Contractor. The Principal may carry out or supply the whole or any particular part or quantity of provisional work itself or engage a third party to do so on its behalf. The Contractor shall not be entitled to any monetary compensation (whether for costs incurred, lost profit, lost overheads or otherwise) in connection with any provisional work (or any particular part or quantity of provisional work) which it is not directed to carry out or supply. Unless the Contract elsewhere provides how particular provisional work is to be valued, it shall be valued in accordance with this clause 3 as if it were identified as a provisional sum.'
