Common use of Improper Gift; Improper Relationship Clause in Contracts

Improper Gift; Improper Relationship. The Architectural Designer represents, warrants and covenants that it has not directly or indirectly offered or given and shall not directly or indirectly offer or give any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal or minimal value to any School District employee who participated in the decision to authorize or enter into this Contract. The Architectural Designer warrants that, to its knowledge, neither a School District employee or officer who participated in the decision to enter into this Contract, nor any member of the employee’s immediate family, receives more than $1,000 per year from the Architectural Designer, has a direct or indirect investment worth $1,000 or more in the Architectural Designer or is a director, officer, partner, trustee or employee of the Architectural Designer.
