Common use of Improper Payments Clause in Contracts

Improper Payments. No bribes, kickbacks or other improper payments have been made by the Company or any Subsidiary of the Company or agent of any of them in connection with the conduct of their respective businesses or the operation of their respective assets, and neither the Company, any Subsidiary of the Company nor any agent of any of them has received any such payments from vendors, suppliers or other persons, where any such payment made or received is reasonably likely to have a Company Material Adverse Effect.

No Neither the Company nor any stockholder, director, officer, employee or agent of the Company has made any improper bribes, kickbacks or other improper payments have been made by the Company or any Subsidiary on behalf of the Company to, or agent of any of them in connection with the conduct of their respective businesses or the operation of their respective assets, and neither the Company, any Subsidiary of the Company nor any agent of any of them has received any such payments from from, customers, vendors, suppliers or other persons, where persons contracting with the Company and has not proposed or offered to make or receive any such payment made or received is reasonably likely to have a Company Material Adverse Effectpayments.

The Company has not knowingly made or received is reasonably likely to have any such payments in violation of any policy of a Company Material Adverse Effectcustomer.
