Common use of Improvements by Celltech Clause in Contracts

Improvements by Celltech. Subject to Celltech’s rights therein as provided elsewhere in this Agreement, including without limitation Section 2.2, Celltech hereby irrevocably assigns, releases, and transfers to Orphan Medical its entire right, title and interest in and to any Improvement solely relating to the API and/or Product (whether patentable or not) made or conceived solely by Celltech employees or contractors.
