In Case of Termination for Cause. In the event of a termination of employment for Cause, (i) the Company may purchase all or any portion of the Shares (other than Unvested Shares, which will be cancelled as provided below) held by such Management Call Group (x), with respect to Purchased Management Shares, at a per Share price equal to the Fair Market Value of such Shares and (y) with respect to all other Shares, at a per Share price equal to the lower of Cost or the Fair Market Value of such Shares; and (ii) the Company may redeem and cancel any and all vested Options and Warrants at a price equal to the lesser of Cost or Fair Market Value after taking into account a deduction for any unpaid exercise price applicable thereto.
