Effect of Termination for Cause. In the event the Executive’s employment shall be terminated for Cause pursuant to Section 5.1 hereof, the Company shall pay the Executive his salary through the date of termination.
Effect of Termination for Cause. If Employee's employment is terminated For Cause:
(a) Employee shall be entitled to accrued base salary under Section 3.1 and accrued vacation pay, each through the date of termination;
(b) Employee shall be entitled to reimbursement for expenses accrued through the date of termination in accordance with the provisions of Section 4.1 hereof; and
(c) Except as provided in Article XI, this Agreement shall thereupon be of no further force and effect.
Effect of Termination for Cause. In the event of termination of Executive for cause as set forth in Section 6.1, or a voluntary termination by Executive, Executive shall have no right to any bonuses, salaries, benefits or entitlements other than those accrued or required by law or specifically provided under the terms of the applicable agreement, instrument or plan document. Payment of any further bonuses or other salaries claimed by Executive will be in the sole and absolute discretion of the Chief Executive Officer of the Company and Executive will have no entitlement thereto.
Effect of Termination for Cause. In the event of termination pursuant to this Section 6, the Term of Employment shall terminate and the Bank shall pay to the Employee an amount equal to the sum of (a) base salary or other compensation earned through the date of termination, plus (b) any other compensation or vested benefits as may be provided in accordance with the terms and provisions of any applicable plans and programs of the Bank. All other obligations of the Bank shall terminate as of the date of termination.
Effect of Termination for Cause. In the event of termination of Employee for cause as set forth in Subsection 12.A, or a voluntary termination by Employee in breach of this Restated Agreement without the consent of the Company, Employee shall have no right to any bonuses, salaries, benefits or entitlements other than those required by law or specifically provided under the terms of the applicable plan document. Payment of any further bonuses or other salaries claimed by Employee will be in the sole and absolute discretion of the Company, and Employee shall have no entitlement thereto.
Effect of Termination for Cause. In the event of termination for any of the reasons set forth in this Section 7 (except as otherwise provided for hereinafter with respect to "permanent disability", death or "without cause") Executive shall be entitled to no further compensation, Base Salary or other Benefits under this Employment Agreement, except as to that portion of any unpaid Base Salary or other benefits accrued and earned by him hereunder up to and including the effective date of termination.
Effect of Termination for Cause. If Employee’s employment is terminated “For Cause” pursuant to Section 7.1:
(a) Employee shall be entitled to accrued base salary and benefits under Sections 3.1 and 3.4, respectively, through the date of termination.
(b) Employee shall be entitled to accrued bonuses under Section 3.2 hereof through the date of termination.
(c) Employee shall be entitled to reimbursement for expenses accrued through the date of termination in accordance with the provisions of Section 4.1 hereof.
(d) All unvested Option Shares granted to Employee shall be forfeited.
(e) Except as provided in Article XI, this Agreement shall thereupon terminate and cease to be of any further force or effect.
Effect of Termination for Cause. Upon Termination for Cause, the terminated Party shall indemnify the other Party for any Damages by reason arising out of such parties breach or insolvency.
Effect of Termination for Cause. Notwithstanding anything to the contrary contained in this Agreement, in the event the Company or an Affiliate terminates the Participant’s services for “cause” (as defined in the Plan) all of the Granted Shares then held by the Participant shall be forfeited to the Company immediately as of the time the Participant is notified that he or she has been terminated for “cause” or that he or she engaged in conduct which would constitute “cause”.
Effect of Termination for Cause. The Company may terminate the Executive’s employment hereunder for Cause and such termination in and of itself shall not be, nor shall it be deemed to be, a breach of this Agreement. If the Company terminates the Executive for Cause, (i) the Executive shall have no right to receive any compensation or benefit hereunder on and after the Effective Date of the Termination other than Annual Salary and other benefits, including payment for unused vacation earned and accrued under this Agreement prior to the Effective Date of the Termination and reimbursement under this Agreement for expenses incurred but not paid prior to the Effective Date of the Termination, but excluding any bonuses the Executive would have been entitled to under the Bonus Plans; and (ii) this Agreement shall otherwise terminate upon the Effective Date of the Termination and the Executive shall have no further rights hereunder (except as provided in Section 7.14). For purposes of this Section 5.3, the “Effective Date of the Termination” shall mean the date on which a notice of termination is given or any later date (within thirty (30) days after the giving of such notice) set forth in such notice of termination.
