Common use of In favour of the Vendors Clause in Contracts

In favour of the Vendors. The Vendor's respective obligations under this Agreement are subject to the fulfilment of the following conditions as of the Time of Closing: (a) the Vendors shall have been able to complete the Vendors' investigation into the affairs of the Purchaser to their reasonable satisfaction; (b) the Purchaser shall have complied with all of its covenants and agreements contained in this Agreement; and (c) the representations and warranties of the Purchaser shall be completely true as if such representations and warranties had been made by the Purchaser as of the Time of Closing. The conditions precedent set forth above are for the exclusive benefit of each of the Vendors and may be waived by each of them in whole or in part on or before the Time of Closing.
