Incomplete Delivery. (1) Omthera shall notify ONC in writing as soon as reasonably practicable if there is an incomplete delivery according to the terms of this Agreement and a confirmed FX Order. ONC shall thereafter use its commercially reasonable efforts to deliver the shortfall as soon as possible, but no later than […***…] days of the intended delivery date under the FX Order, provided this shall be without prejudice to any other rights or obligations under this Agreement.
Incomplete Delivery. The Purchaser or, if relevant, Purchaser’s Nominated Contract Manufacturer shall notify the Supplier as soon as reasonably practicable if there is an incomplete delivery according to the terms of this Agreement. If the Supplier is notified by telephone or in person, then such notification shall be confirmed in writing. The Supplier shall then be obligated to rectify the incomplete delivery within sixty (60) days, running from the first date the Supplier receives such notification, provided this shall be without prejudice to any other rights or obligations under this Agreement. In addition, the Supplier shall rectify the incomplete delivery from the Supplier’s own inventory of API by allocating its existing stock among the Purchaser and such other Third Parties to whom the Supplier supplies API on a pro rata basis. If the Supplier allocates API to the Purchaser from the Supplier’s own inventory, the Parties will discuss in good faith how such allocation will be documented and applied toward the Supplier’s obligations under Section 3.3.
Incomplete Delivery. As soon as possible after receipt by Fox of the ------------------- last Delivery Item, Fox shall notify Saban of any Delivery Items which are incomplete or fail to meet the requirements of this Paragraph 6. Saban shall thereafter have 15 business days to correct all such deficiencies by making delivery to Fox of the required Delivery Items with respect to the Program. Time is of the essence with respect to Delivery of the Program. Acceptance by Fox of incomplete or late Delivery items shall not be construed as a waiver by Fox of Saban's obligation to make Delivery, unless Fox notifies Saban in writing specifying the Delivery Item which need not be delivered or the requirement which is being waived. The cost of any Delivery Item which is supplied by Fox by reason of Saban's failure to make Delivery shall be reimbursed by Saban within 15 days of Fox's invoice.

Incomplete Delivery. The Acquisition Documents shall provide that not later than 30 days after receipt of delivery items, Distributor shall notify the producer thereof to the extent that any such materials or items are incomplete or fail to meet specified requirements for Delivery ("Objection Notice"). Distributor shall then give the affected producer 7 days from receipt of the Objection Notice ("Cure Period") to correct all such deficiencies by making delivery to Distributor of all the required materials and items specified in the Objection Notice that comprise Delivery ("Complete Delivery"). Under no circumstances shall any producer be relieved of the obligation to deliver all required materials or items, nor shall Investors or Distributor as Investors' agent be deemed to have waived any of said delivery requirements, unless Distributor shall so notify the affected producer and Investors in writing designating the particular material or item which need not be delivered by the affected producer. The cost of any material or item of Delivery which is omitted by such producer and is supplied by Distributor or its designee by reason of such failure to deliver the material or item will be added to the Total Negative Cost (as defined in the Credit Agreement) of the affected Picture for the purpose of computing the amount to be provided pursuant to the Credit Agreement.

Incomplete Delivery. CBS/FOX shall have the right to inspect and examine all Delivery Materials. To the extent that any of the materials delivered hereunder, in the sole reasonable discretion of CBS/FOX, is incomplete or fails to meet the requirements and standards specified, CBS/FOX shall so notify Grantor, and Grantor shall immediately thereafter correct all such deficiencies by delivering to CBS/FOX the proper materials and items required. Acceptance by CBS/FOX of less than all of the Delivery Materials for the Program shall not be construed as a waiver by CBS/FOX of Grantor's obligation to deliver any material or item required hereunder. The cost of any material or item of delivery which is omitted by Grantor and is obtained by CBS/FOX from other sources may be set off against and deducted from the Advance by CBS/FOX and recouped by CBS/FOX from any Net Receipts due to Grantor hereunder.

Incomplete Delivery. All claims for incomplete delivery of Genuine Aston Xxxxxx Parts must be made by Dealer in writing immediately upon Dealer's receipt of shipment.
