Increase Conditions. The satisfaction of each of the following:
Increase Conditions. No Commitment Increase shall become effective unless and until each of the following conditions have been satisfied: (1) The Borrowers shall have paid the Agent the Commitment Increase Fee with respect to such Commitment Increase; (2) A note will be issued at the Borrowers’ expense, to each Lender, to the extent necessary to reflect the new Commitments of such Lenders; and (3) The Borrowers shall have delivered such other instruments, documents and agreements with respect to the Commitment Increase as the Agent may reasonably have requested.
Increase Conditions. The approval of the Agent and the satisfaction of each and all of the following:
Increase Conditions. No Revolver Increase shall become effective unless and until each of the following conditions have been satisfied: (i) The Borrower shall have paid the Lender the Revolver Increase Fee as provided in the Fee Letter; (ii) A note will be issued at the Borrower’s expense to the Lender to reflect the new Maximum Revolver Amount; and (iii) The Borrower shall have delivered such other instruments, documents, and agreements with respect to the Revolver Increase as the Lender may reasonably have requested.
Increase Conditions. No Commitment Increase shall become effective unless and until each of the following conditions have been satisfied: (i) The Borrowers shall have paid the Administrative Agent the Commitment Increase Fee with respect to such Commitment Increase; (ii) At the request of any Lender, a note will be issued, at the Borrowers’ expense, to such Lender to the extent necessary to reflect the new Commitments of such Lender; (iii) No Default shall have occurred and be continuing immediately before or immediately after the Commitment Increase Date with respect to such Commitment Increase; and (iv) The Loan Parties shall have delivered such other instruments, documents and agreements with respect to such Commitment Increase as the Administrative Agent may reasonably have requested.

Existing Site Conditions: Information with respect to the site of the Work given in drawings or specifications has been obtained by County's representatives and is believed to be reasonably correct, but the County does not warrant either the completeness or accuracy of such information, and it is the responsibility of the Contractor to verify all such information.

  • GUARANTEE CONDITIONS 4.1 The performance certification requirements for the Aircraft, except where otherwise noted, will be as stated in Section 02 of the Standard Specification. 4.2 For the determination of JAR take-off and landing performance a hard dry level runway surface with no runway strength limitations, no line-up allowances, no obstacles, zero wind, atmosphere according to ISA, except as otherwise noted, and the use of speed brakes, flaps, landing gear and engines in the conditions liable to provide the best results will be assumed. 4.2.1 When establishing take-off and second segment performance no air will be bled from the engines for cabin air conditioning or anti-icing.

  • PAYMENT CONDITIONS 6.01 Prices shall remain firm for the initial term of the Agreement and, thereafter, may be adjusted annually as provided in this paragraph. The County does not guarantee any minimum or maximum amount of dollars to be spent under this Agreement. 6.02 Negotiations for rate changes shall be commenced, by CONTRACTOR, a minimum of ninety days (90) prior to the expiration of the Agreement. Rate changes are not binding unless mutually agreed upon in writing by the County and the CONTRACTOR. 6.03 Invoice amounts shall be billed directly to the ordering department. 6.04 CONTRACTOR shall submit such invoice periodically or at the completion of services, but in any event, not later than 30 days after completion of services. The invoice shall set forth the amounts claimed by CONTRACTOR for the previous period, together with an itemized basis for the amounts claimed, and such other information pertinent to the invoice. The County shall certify the invoice, either in the requested amount or in such other amount as the County approves in conformity with this Agreement and shall promptly submit such invoice to the County Auditor-Controller for payment. The County Auditor-Controller shall pay the amount certified within 30 days of receiving the certified invoice.
