Increase or Decrease in Services Clause Samples
The "Increase or Decrease in Services" clause defines the process by which the scope of services under a contract can be adjusted, either expanded or reduced, during the course of the agreement. Typically, this clause outlines the procedures for requesting changes, such as requiring written notice or mutual agreement, and may specify how adjustments to pricing, timelines, or deliverables will be handled. Its core practical function is to provide flexibility for both parties to adapt to changing needs or circumstances, while ensuring that any modifications are managed transparently and fairly.
Increase or Decrease in Services. The Services will be variable in volume in accordance with and subject to Schedule 5, and HPES will increase or decrease the amount of the Services provided under this Agreement according to Service Recipients’ demand for such Services. The Charges for the Services will vary based on the Service Recipients’ consumption of the Services in accordance with the applicable Charges Methodology. Increases in the volume or consumption of the Services will not be considered New Services.
Increase or Decrease in Services. Supplier shall increase or decrease the amount of the Services provided hereunder according to LS&Co.’s demand for the Services. Increases in the volume of Services shall not be considered New Services.

Subject to the provisions of Exhibit 4, with respect to any Base Charges in an applicable Statement of Work, Supplier shall increase or decrease the amount of the Services provided hereunder according to Michaels’ demand for the Services. Increases in the volume of Base Services shall not be considered New Services. Any Change shall be agreed upon by the Parties in accordance with the Change Management Process as set forth in Exhibit 5 or the applicable Statement of Work.
