Common use of Incumbency of the Borrower Clause in Contracts

Incumbency of the Borrower. The Borrower shall deliver to the Administrative Agent and the Lenders a certificate from the Borrower, signed by an Authorized Representative of the Borrower and dated as of the date of this Limited Duration Waiver, as to the incumbency of the Person or Persons authorized to execute and deliver this Limited Duration Waiver, and any Instruments or agreements required hereunder or thereunder to which the Borrower is a party.
