Indebtedness, Disqualified Stock or Preferred. Stock (1) of the Parent or the Borrower incurred or of the Parent or any Restricted Subsidiary assumed, in each case, in connection with an acquisition of any assets (including Capital Stock), business or Person or any similar Investment (and any guarantee thereof shall only be provided by a Loan Party) and (2) of any Person that is acquired by the Parent or one of its Restricted Subsidiaries or merged into or consolidated or amalgamated with the Parent or one of its Restricted Subsidiaries in accordance with the terms of this Agreement (and any guarantee thereof shall only be provided by a Loan Party) and (3) Indebtedness, Disqualified Stock or Preferred Stock incurred by the Parent or the Borrower or assumed by the Parent or any Restricted Subsidiary, as applicable, in anticipation of an acquisition of any assets, business or Person or any similar Investment (and any guarantee thereof shall only be provided by a Loan Party), so long as, other than with respect to clause (2) of this clause (o), after giving effect to such acquisition, merger, consolidation or amalgamation and the incurrence of such Indebtedness, Disqualified Stock or Preferred Stock (“Ratio Acquisition Debt”), either:
