Common use of Indemnifiable Event Clause in Contracts

Indemnifiable Event. Any event or occurrence that takes place either prior to or after the execution of this Agreement, related to the fact that Indemnitee is or was a director of the Company, or while a director is or was serving at the request of the Company as a director or officer of another corporation, partnership, joint venture, trust or other enterprise or related to anything done or not done by Indemnitee in any such capacity, whether or not the basis of the Proceeding is alleged action in an official capacity as a director of the Company, or in any other capacity, as described above.

Indemnifiable Event. Any event or occurrence any Proceeding that takes place either prior to before or after the execution of this Agreement, Agreement and that is related to or arises out of: (i) the fact that Indemnitee is or was a director and/or officer of the Company, Company or while a director is or was serving at the request of the Company as a director director, officer, employee or officer agent of another corporation, partnership, joint venture, trust or other enterprise or related to anything done enterprise; or (ii) actions taken or not done taken by Indemnitee in any such capacity, whether or not the basis of the Proceeding is alleged action in an official his capacity as a director of the Company, or in any other capacity, as described aboveand/or officer (subject to Section 2b. hereof).

Any event or occurrence that takes place occurrence, either prior to or after the execution of this Agreement, related to the fact that Indemnitee is or was serving the Company as a director of the Companyor officer, or both, or while a director serving in any such capacity is or was serving at the request of the Company as a director or officer officer, or both, of another corporation, partnership, joint venture, trust or other enterprise or related to anything done or not done by Indemnitee in any such capacity, whether or not the basis of the Proceeding is alleged action in an official capacity with the Company, whether as a director of the Companyor officer, or both, or in any other capacity, as described above.
