Common use of Indemnification by Buyer and Parent Clause in Contracts

Indemnification by Buyer and Parent. From and after the Closing, Buyer and Parent shall, jointly and severally, subject to the provisions of this Article XII, indemnify and hold harmless Seller and its respective Affiliates (collectively, the “Seller Indemnified Parties”) from and against any and all Losses that are suffered or incurred by any Seller Indemnified Party arising out of, resulting from or relating to any of the following matters:

From Subject to the terms and conditions of this Article 10, from and after the Closing, Buyer and Parent shall, jointly and severally, subject to the provisions of this Article XII, indemnify and defend the Seller Parties in respect of, and hold the Seller Parties harmless Seller and its respective Affiliates (collectivelyagainst, the “Seller Indemnified Parties”) from and against any and all Losses that are Damages incurred or suffered by the Seller Parties resulting from, related to, or incurred by any Seller Indemnified Party arising out of, resulting from or relating to any of the following matters:

From Subject to the other terms and after the Closingconditions of this Article X, Buyer and Parent shallshall indemnify Seller, jointly its Affiliates, and severallytheir respective agents, subject to the provisions of this Article XIIrepresentatives, indemnify successors and hold harmless Seller and its respective Affiliates assigns (collectively, the “Seller Indemnified Parties”) against, and shall hold Seller Indemnified Parties harmless from and against against, any and all Losses that are suffered incurred or incurred by any sustained by, or imposed upon, Seller Indemnified Party Parties based upon, arising out of, resulting from with respect to or relating to any of the following mattersby reason of:
