Breach of Covenant or Agreement. Any breach or nonfulfillment by Buyer of any of its covenants, agreements or other obligations set forth in this Agreement or in any of the documents and instruments executed in connection herewith.
Breach of Covenant or Agreement. Any breach or nonfulfillment any of the covenants, agreements or other obligations of any of the Selling Entities set forth in this Agreement;

By either American or MainStreet (provided that the terminating party is not then in breach of any representation or warranty contained in this Agreement under the applicable standard set forth in Section 3.2 or in breach of any covenant or agreement contained in this Agreement) in the event of a material breach by the other party of any covenant or agreement contained in this Agreement which cannot be or has not been cured within thirty (30) days after the giving of written notice to the breaching party of such breach;
Breach of Covenant or Agreement. (i) By Towne and Towne Merger Sub (provided that Towne is not then in breach of any representation or warranty contained in this Agreement under the applicable standard set forth in Section 3.2 or in material breach of any covenant or agreement contained in this Agreement) in the event of a material breach by Holding Company or Bank Subsidiary of any covenant or agreement contained in this Agreement which cannot be or has not been cured within thirty (30) days after the giving of written notice to Holding Company of such breach;
(ii) By Holding Company and Bank Subsidiary (provided that Holding Company or Bank Subsidiary is not then in breach of any representation or warranty contained in this Agreement under the applicable standard set forth in Section 3.2 or in material breach of any covenant or agreement contained in this Agreement) in the event of a material breach by Towne of any covenant or agreement contained in this Agreement which cannot be or has not been cured within thirty (30) days after the giving of written notice to Towne of such breach;
Breach of Covenant or Agreement. By either BRBS or FVCB (provided that the terminating party is not then in breach of any representation or warranty contained in this Agreement under the applicable standard set forth in Section 3.2 or in material breach of any covenant or agreement contained in this Agreement) in the event of a material breach by the other party of any covenant or agreement contained in this Agreement which cannot be or has not been cured within thirty (30) days after the giving of written notice to the breaching party of such breach and which breach would provide the terminating party the ability to refuse to consummate the Merger under Section 6.2(b) in the case of BRBS and Section 6.3(b) in the case of FVCB;
Breach of Covenant or Agreement. Any breach or nonfulfillment by any of the Buying Entities of any of its covenants, agreements or other obligations set forth in this Agreement (including the Schedules and Exhibits) or the Related Agreements; PROVIDED, HOWEVER, that the Selling Interests shall not be entitled to indemnification for any such breach or nonfulfillment that occurred prior to the Closing if (but only if) Buyer shall have notified Seller's Representative of such breach or nonfulfillment in writing prior to the Closing;
Breach of Covenant or Agreement. Any breach, nonfulfillment or ------------------------------- failure by Buyer or ZixIt to perform or comply with any of its covenants, agreements or other obligations set forth in this Agreement (including the Schedules and Exhibits hereto) or in any document or instrument delivered by Buyer or ZixIt pursuant to or in connection with this Agreement at the Closing; and
Breach of Covenant or Agreement. Any breach or nonfulfillment by any of the Buying Entities of any of its covenants, agreements or other obligations set forth in this Agreement (including the Schedules and Exhibits) or the Related Agreements;
Breach of Covenant or Agreement. Any material breach or nonfulfillment by Purchaser of any of its covenants, agreements or other obligations set forth in this Article 5.
