Indemnification by PPUC Sample Clauses

Indemnification by PPUC. PPUC agrees to indemnify and save harmless Seller, its directors, officers, employees, agents, and contractors from any loss, claim, liability, penalty, fine, forfeiture, demand, cause of action, suit, and costs and expenses incidental thereto (including cost of defense, settlement and reasonable attorneys' fees) to the extent caused by or resulting from (1) any negligent or willful act or omission of PPUC or its officials, employees, agents, or contractors, or (2) the breach by PPUC of any of the covenants, representations, or warranties of PPUC contained in this Agreement; provided, that PPUC shall not indemnify Seller, its directors, officers, employees, agents or contractors, from any loss, liability, penalty, fine, forfeiture, demand, cause of action, suit, and cost and expense incidental thereto (including cost of defense, settlement and reasonable attorneys' fees) to the extent caused by or arising out of any negligent or willful act or omission of or breach of this Agreement by Seller, or any of its directors, officers, employees, agents, or contractors.
