Common use of INDEMNIFICATION FOR EXPENSES OF A WITNESS Clause in Contracts

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the fullest extent permitted by applicable law and to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness or otherwise a participant in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and suffered or incurred (or, in the case of retainers, reasonably incurred expected to be incurred) by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law law, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the fullest extent permitted by applicable law and to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness or otherwise asked to participate in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her the Indemnitee’s Corporate Status, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf of the Indemnitee in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding Legal Action to which Indemnitee is not a party, the Company will advance all reasonable expenses and indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, or is or was made (or asked) to respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness or otherwise involved in any Proceeding to which Indemnitee is not a party, the Company will indemnify, defend, and hold harmless the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law law, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate or provide information.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, or is made (or asked to) respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company will indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his Indemnitee’s employment or her Corporate Statusservice as an officer or director, a witness in any Proceeding to which Indemnitee is not a partyProceeding, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness or deponent in any Proceeding to which Indemnitee was or is not a party or threatened to be made a party, Indemnitee shall be indemnified shall, to the fullest extent permitted by applicable law law, be indemnified, held harmless and exonerated against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee the Company shall be indemnified liable to the extent permitted by applicable law indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

To the extent that the Indemnitee is, by reason of his or her the Indemnitee's Corporate Status, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf of the Indemnitee in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the fullest extent that permitted by applicable law, the Company shall indemnify Indemnitee isagainst all Expenses directly or indirectly incurred by or on behalf of Indemnitee if, by reason of his or her Corporate Status, Indemnitee is a witness in any Proceeding Action to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law law, the Company shall indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company will indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in or otherwise incurs Expenses in connection with any Proceeding to which Indemnitee is not a party, Indemnitee he or she shall be indemnified to and held harmless by the extent permitted by applicable law Company against all Expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate StatusStatus (as hereinafter defined), a witness in any Proceeding to which Indemnitee is not a partyproceeding, Indemnitee shall be indemnified to by the extent permitted by applicable law Company against all Expenses expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Corporation will indemnify Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, or is made (or asked) to respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness or otherwise involved in any Proceeding to which Indemnitee is not a party, the Company shall indemnify, defend, and hold harmless the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Corporation will indemnify Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Losses and Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his the fact that Indemnitee is or her Corporate Statuswas an employee, director, and/or officer of the Company, or is or was serving at the request of the Company as a director, officer, employee, agent, fiduciary, or other representative of another Enterprise, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee he shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee (or on Indemnitee’s behalf his behalf) in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness or otherwise asked to participate in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified shall, to the fullest extent permitted by applicable law law, be indemnified, held harmless and exonerated against all Expenses actually and reasonably incurred by Indemnitee him, or on Indemnitee’s his behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her the Indemnitee’s Corporate Status, a witness witness, or is made (or asked) to respond to discovery requests, in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf of the Indemnitee in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, has prepared to serve or has served as a witness or is made to respond to discovery requests in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee was or is, by reason of his or her Corporate Status, a witness witness, or is made or asked to respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law and the Charter, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Statusposition as a director, officer, employee or agent of the Company, a witness in any Proceeding action, suit or proceeding to which Indemnitee is not a party, Indemnitee he or she shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of the Agreement, to the extent that Indemnitee is, by reason of his indemnitee’s employment or her Corporate Statusservice as an officer or director, a witness in any Proceeding to which Indemnitee is not a partyProceeding, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his the Indemnitee's serving in one or her Corporate Statusmore Covered Positions with respect to the Company and/or with respect to one or more other entities at the request of the Company, a witness in any Proceeding to which Indemnitee is not a partyaction, suit or proceeding, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses expenses actually and reasonably incurred by the Indemnitee or on the Indemnitee’s 's behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Liabilities and Expenses actually and reasonably suffered or incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Statusserving or acting in a Covered Capacity, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law and held harmless against all Expenses actually and reasonably incurred by Indemnitee him or on Indemnitee’s his behalf in accordance with Section 8 in connection therewithwith the Proceeding and his or her acting as a witness in it.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee was or is, by reason of his or her Corporate Status, a witness witness, or is made (or asked to) respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Subject to the terms and conditions herein, to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of due to his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s 's behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, or is made (or asked to) respond to discovery requests, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Statusposition as a director, officer, employee or agent of the Company, a witness in any Proceeding action, suit or proceeding to which Indemnitee is not a party, Indemnitee he or she shall be indemnified to the extent permitted by applicable law against all Expenses costs and expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in connection therewith.

To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of these Bylaws, to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee the Corporation shall be indemnified liable to the extent permitted by applicable law indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

To the extent that the Indemnitee is, by reason of his or her the Indemnitee’s Corporate Status, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf of the Indemnitee in connection therewithwith serving as a witness.

To Notwithstanding any other provision of this Deed, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company will indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

To Notwithstanding any other provision of this Deed, to the fullest extent permitted by applicable law, including the Act, and to the extent that Indemnitee is, by reason of his or her Indemnitee’s Corporate Status, a witness or otherwise asked to participate in any Proceeding or Criminal Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her Corporate Statusthe Indemnitee serving at the request of the Indemnitor, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitor acknowledges that it shall indemnify the Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably incurred by the Indemnitee or on the Indemnitee’s 's behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Statusserving or acting in a Covered Capacity, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law and held harmless against all Expenses actually and reasonably incurred by Indemnitee him or her or on Indemnitee’s his or her behalf in accordance with Section 8 in connection therewithwith the Proceeding and his or her acting as a witness in it.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his was or her Corporate Status, is a witness or deponent in any Proceeding to which Indemnitee was not or is not a party or threatened to be made a party, Indemnitee shall be indemnified the Company shall, to the fullest extent permitted by applicable law law, indemnify, hold harmless and exonerate Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her the Indemnitee’s Corporate Status, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf of the Indemnitee in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law Applicable Law, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but in which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company will indemnify Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Notwithstanding any other provision of this Agreement, to the extent that Indemnitee isIndemnitee, by reason of his or her Corporate Status, is to be a witness or to be interviewed in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law law, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate. 1 NTD: To be included if applicable.

To the extent that Indemnitee isIndemnitee, by reason of his or her Corporate Status, has prepared to serve or has served as a witness or is made to respond to discovery requests in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that an Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which such Indemnitee is not a party, such Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by such Indemnitee or on such Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her their Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the fullest extent permitted by applicable law and to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness or otherwise asked to participate in any aspect of a Proceeding to which Indemnitee is not a party, Indemnitee he shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee him or on Indemnitee’s his behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her the Indemnitee's Corporate StatusStatus (as defined in Section 18 hereof), a witness in any Proceeding to which Indemnitee is not a partyaction, suit or proceeding, the Indemnitee shall be indemnified to by the extent permitted by applicable law Company against all Expenses expenses actually and reasonably incurred by the Indemnitee or on the Indemnitee’s 's behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewiththerewith to the maximum extent permitted by applicable law and the Company’s Memorandum and Articles of Association.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To Subject to Article 13, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company will indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably paid or incurred by Indemnitee on his or on Indemnitee’s her behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law and the Constituent Documents, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate or provide information.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith. 6.

For purposes of this Agreement, a “witness” shall include any person deposed or interviewed or called upon to produce documents or otherwise give evidence in connection with any Proceeding.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that the Indemnitee is, by reason of his or her Corporate Statusstatus as an Agent of the Company, a witness in any Proceeding to which the Indemnitee is not a party, the Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by the Indemnitee or on the Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the fullest extent permitted by applicable law law, the Company will indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewithwith any Proceeding to which Indemnitee is not a party but to which Indemnitee is a witness, deponent, interviewee, or otherwise asked to participate.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To In furtherance and not by way of limitation of the indemnity rights provided hereunder, the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, or is made (or asked) to respond to discovery requests, in any Proceeding to which Indemnitee is not a party, the Company shall indemnify Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS. To the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in or otherwise asked to participate in or otherwise is or may become involved in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified to the extent permitted by applicable law against all Expenses actually and reasonably incurred by Indemnitee or on Indemnitee’s behalf in connection therewith.

INDEMNIFICATION FOR EXPENSES OF A WITNESS.
